Establishing a Legal Compliance Framework

Mioro has a formal policy that describes our commitment to compliance with applicable laws and regulations and industry standards such as RJC-COP. A comprehensive record of applicable laws, such as labour, environmental, safety and trade laws, is maintained and regularly updated to reflect changes in legislation.

 

Following Legal Developments

A designated compliance team tracks changes in legal requirements through subscriptions to legal updates, collaborations with legal advisors, and memberships in relevant industry organizations. Support is obtained from external legal counsel regarding complex regulatory issues and emerging legal requirements.

 

Communication and Education

Employees are regularly informed about applicable legal requirements through internal communications, training programs and workshops. Suppliers and subcontractors are provided with legal compliance guides regarding their work with Mioro. All compliance policies and procedures are documented and made available to employees through our internal systems. Training meetings are organized by A- Class IGU and HR and meeting records are kept.

 

Due Diligence and Risk Management

KYC (Know Your Customer) processes are carried out to verify that suppliers comply with legal and ethical standards. Regular risk assessments are conducted to identify potential areas of non-compliance. Mioro ensures that all materials used, including gold and silver, are responsibly sourced and comply with conflict-free certification standards. LBMA and DMCC do not make any purchases except precious metals.

 

Internal and External Audits

Mioro’s internal audit team regularly reviews compliance with legal and regulatory procedures. Third party Financial, Masak, SMETA, Environmental Consulting and

Occupational Safety audits are conducted annually to verify compliance with RJC-COP, ISO standards and applicable legal requirements. Findings from inspections are addressed with corrective action plans to ensure continuous improvement.

 

Reporting and Documentation

An online reporting line and email mechanism have been created for employees and stakeholders to anonymously report potential compliance violations. Periodic compliance reports are prepared to provide transparency to stakeholders and regulatory authorities. All compliance-related records are kept in line with legal requirements and internal policies.

 

Management of Legal Conflicts

When there is a conflict between local laws and RJC-COP requirements, the more stringent requirement applies. A dedicated legal team protects Mioro’s interests by resolving disputes in a timely manner.

 

Continuous Improvement

Mioro’s compliance procedures are regularly reviewed and updated to reflect changes in laws and regulations and to address operational gaps. Employee and stakeholder feedback is integrated into the compliance management system to increase effectiveness. Advanced digital tools are used to monitor compliance, keep records and ensure seamless compliance with regulations.
