Overview
Mioro is committed to maintaining the highest ethical standards and encourages all employees, executives and business partners to report concerns about suspected business misconduct, unethical behavior or violations of laws and regulations, including those related to financial reporting, accounting or internal audit controls. It does.
Mioro has created a confidential reporting system that allows individuals to raise concerns and ensures their anonymity and protection from retaliation. This system complies with international best practices and applicable whistleblower protection laws.
Reporting Channels
If you would like to report a concern, you can contact us through one of the following channels:
- Your direct supervisor, manager or Human Resources representative.
- Mioro Ethics and Compliance Team.
- Mioro Secret Ethics Hotline.
- Legal Department.
- Corporate Secretary.
- General Counsel.
- Chairman of the Audit Committee.
Reports can be made confidentially and anonymously if preferred.
Procedure
When you contact the Mioro Confidential Line, you will be asked to provide details of your concern. You may choose to remain anonymous or provide a code name to facilitate follow-up communications. Any concerns reported:
- Will be handled in complete confidentiality.
- It will be meticulously investigated by the relevant department or committee.
- It will be reviewed by the Mioro Audit Committee, consisting of independent directors.
If the concern involves a member of the Audit Committee, that person will not participate in the investigation or review.
Protection of Reporting Persons
Mioro is committed to protecting individuals who report concerns in good faith. Retaliation against anyone who provides legal information about potential misconduct is strictly prohibited. Protection applies in the following cases:
– Reporting concerns to a supervisor or authorized investigator.
– Providing information to government authorities or testifying in legal proceedings.
Employees who report concerns will not face termination, dismissal or other negative consequences.
Types of Concerns That Can Be Reported
Concerns such as the following may be reported:
- Fraud or embezzlement.
- Corruption, bribery or money laundering.
- Discrimination or harassment.
- Violation of environmental, health or safety regulations.
- Conflicts of interest or unethical business practices.
- Violations of the Mioro Code of Conduct or the Supplier Code of Conduct.
Research and Tracking
Mioro ensures that all reported concerns are recorded, assigned a unique control number and appropriately investigated. Investigations may be conducted in collaboration with relevant departments such as Human Resources, Legal and Compliance.
The results of the investigations will be reviewed by the Audit Committee and necessary measures will be taken in accordance with company policies.
Privacy and Anonymity
Mioro protects the anonymity of individuals who choose not to reveal their identities. In these cases, tracking communications may be made via control number or code name.
If an individual chooses to disclose their identity, this identity will not be shared without their express consent, but may be shared when necessary for the investigation.
